These Terms and Conditions ("Terms") are a legal agreement between Wildye Limited, a company registered in [jurisdiction] under company number [company number], with its registered office at [registered address] ("Wildye", "we", "us"), and the person or organization that registers for or uses Vellumail ("you", "Customer"). By creating an account, subscribing to a plan, or using Vellumail in any way, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. Definitions

  • "Service" or "Vellumail" means the hosted email platform operated by Wildye, including SMTP, IMAP, JMAP, CardDAV, webmail, the account portal, and related infrastructure.
  • "Account" means the billing/account-portal login used to manage domains, mailboxes, and subscriptions.
  • "Mailbox" means an individual email address hosted on the Service.
  • "Standard Encryption" means the default at-rest encryption applied to every Mailbox, where the encryption key is held and managed by Wildye.
  • "Zero-Knowledge Mode" means the optional, per-Mailbox encryption mode in which the Mailbox's encryption key is derived solely from the Mailbox's own password and a recovery key issued once at enrollment, and is never held, escrowed, or recoverable by Wildye.
  • "Keys" means, collectively, a Mailbox password, recovery key, or any other credential or secret that a Mailbox in Zero-Knowledge Mode depends on to decrypt its own data.
  • "Content" means email messages, attachments, contacts, and any other data a Customer or its users store on or send through the Service.

2. The Service

Wildye provides Vellumail on a subscription basis as described on our pricing page and in each Customer's account portal. We may add, change, or retire features from time to time; material reductions in a paid plan's core functionality will be notified in advance where reasonably practicable.

3. Accounts and eligibility

You must provide accurate registration and billing information, keep your Account credentials confidential, and are responsible for all activity carried out under your Account and its Mailboxes, including activity by anyone you grant access to (for example, through shared mailboxes or delegated access). You must notify us promptly of any suspected unauthorized use of your Account.

4. Fees and billing

Fees are billed in advance on a recurring basis at the rate shown for your selected plan at checkout, via our third-party payment processor (currently Stripe). Fees are non-refundable except where required by law or expressly stated otherwise. We may change plan pricing on renewal with reasonable prior notice.

If a payment fails, we place the Account into a payment-hold: a notice is shown in webmail and the account portal, we email the billing contact on file, and normal mail flow is paused so you're not billed for service you can't use while unpaid - newly arriving mail is held (not deleted or bounced back to the sender) and outgoing mail is queued rather than sent, both automatically for as long as the hold lasts. This is intended to make non-payment impossible to miss and to prompt payment, not to penalize you: nothing is lost, and there is no separate reactivation fee. As soon as payment succeeds, held mail is delivered and outgoing mail resumes automatically, without further action on your part. An Account left unpaid for an extended period may still be suspended or terminated under Section 11 (Term and termination).

5. Acceptable use

The Service is provided for ordinary personal and business correspondence only. Vellumail is not, and must not be used as, a newsletter, marketing, or bulk-email platform - if that's what you need, this is not the right product. You agree not to use the Service, or permit it to be used, to send newsletters, marketing or promotional email, mailing-list mail, or any other bulk or one-to-many email - whether or not the recipients consented to receive it - or to send unsolicited bulk email ("spam"), malware, or content that is unlawful, infringing, defamatory, or that violates a third party's rights; to attempt to circumvent rate limits, spam/antivirus filtering, or authentication controls; to probe, scan, or attack the Service's infrastructure or that of other Wildye customers; or to use the Service in violation of applicable data protection, anti-spam (e.g. CAN-SPAM, PECR), or export-control law. This is enforced technically as well as contractually: outgoing mail carrying mailing-list/bulk-sender headers (e.g. List-Unsubscribe, List-Id, Precedence: bulk) is rejected outright, and every Mailbox is subject to a daily cap on the number of distinct recipients it may send to. We may suspend or terminate Mailboxes or Accounts that breach this section, including where necessary to protect the deliverability or security of the Service for other customers.

5.1 Automatic detection of spam and blacklisting

We monitor our own outbound mail infrastructure against third-party DNS-based block lists (RBLs/DNSBLs). If our infrastructure is reported for spam or one of our sending IP addresses becomes blacklisted, we automatically trace the run of rejected mail back to whichever specific Mailbox and Account caused it - we do not wait for a manual review, and we do not act against the wrong Account or every Account on the affected infrastructure. Once identified:

  • the responsible Mailbox is immediately banned from sending further mail (it can still receive mail, and its owner can still log in);
  • a fixed remediation fee (currently £25) is charged to the Account, covering the cost of delisting requests and reconfiguring affected infrastructure, invoiced separately from your subscription and payable before the restriction below is lifted;
  • the whole Account is placed into the same payment-hold described in Section 4 until that fee is paid - new mail is held, not lost, and outgoing mail is queued, not sent - and the Account's billing contact is notified by email naming the Mailbox responsible.

As soon as the fee is paid, the Mailbox is automatically re-enabled and the Account's mail flow resumes, without further action on your part. If a Mailbox is repeatedly identified this way, or its credentials appear to be compromised, we may suspend or terminate it under Section 11 regardless of payment.

6. Encryption, Zero-Knowledge Mode, and loss of Keys

Every Mailbox is encrypted at rest under Standard Encryption by default. A Customer may opt any Mailbox into Zero-Knowledge Mode. This section explains what that choice means and what you accept by making it.

6.1 How Zero-Knowledge Mode works

In Zero-Knowledge Mode, the Mailbox's encryption key is derived exclusively from that Mailbox's password and a one-time recovery key generated at enrollment. Wildye does not hold, store in recoverable form, or have any technical means to reconstruct either of these. This is a deliberate design choice: it is what allows us to state that Wildye cannot read a Zero-Knowledge Mailbox's Content, including on request from us, from you, or from any third party presenting a Mailbox password we do not possess.

6.2 Your responsibility for Keys

By enabling Zero-Knowledge Mode on a Mailbox, you acknowledge and agree that:

  • you are solely responsible for creating, safeguarding, and backing up that Mailbox's password and recovery key;
  • Wildye has no ability to reset, recover, or bypass either of them, and no administrator, support process, or legal order can restore access without them;
  • if both the password and the recovery key are lost, forgotten, destroyed, or otherwise become unavailable, the Content of that Mailbox becomes permanently and irreversibly inaccessible, and Wildye cannot recover it by any means;
  • enabling Zero-Knowledge Mode is a one-way, opt-in action taken at your instruction, and Wildye is not responsible for that choice or for ensuring you have arranged your own backup or key-escrow procedures before or after making it.

6.3 Limitation of liability for Key loss

To the fullest extent permitted by law, Wildye excludes all liability, and you agree not to hold Wildye liable, for any loss of Content, business interruption, financial loss, or other damage arising from the loss, forgetting, destruction, theft, or unavailability of a Zero-Knowledge Mailbox's password or recovery key, regardless of how that loss occurred, including where it results from your own action, inaction, or the action of anyone you shared those Keys with. This exclusion is a core part of the bargain of offering Zero-Knowledge Mode at all, since it is the absence of any Wildye-held recovery path that makes the mode's privacy guarantee meaningful. Nothing in this clause excludes liability that cannot be excluded as a matter of law (see Section 9).

6.4 Standard Encryption is different

Mailboxes that have not opted into Zero-Knowledge Mode remain under Standard Encryption, where Wildye holds the encryption key and can assist with password resets and account recovery through our normal support process. Section 6 applies only to Mailboxes actively enrolled in Zero-Knowledge Mode.

7. Customer Content

You retain all ownership rights in your Content. You grant Wildye the limited right to store, transmit, and process Content solely to provide the Service (including spam and antivirus scanning, delivery, and, where applicable, migration from another provider at your request). You are responsible for having the rights necessary to send and store the Content you put through the Service, and for maintaining your own backups of anything you cannot afford to lose - including, per Section 6, the Keys to any Zero-Knowledge Mailbox.

8. Availability and support

We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and "as available"; to the extent permitted by law, we disclaim all implied warranties, including fitness for a particular purpose and non- infringement. Any service-level commitments apply only where separately agreed in writing (e.g. an enterprise order form).

9. Limitation of liability

To the fullest extent permitted by law: (a) Wildye's total liability to you arising out of or related to these Terms or the Service, in aggregate, will not exceed the fees you paid to Wildye in the twelve (12) months preceding the event giving rise to the claim; and (b) Wildye will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data (including Content rendered inaccessible under Section 6). Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited in the jurisdiction governing these Terms.

10. Indemnification

You agree to indemnify and hold Wildye harmless from third-party claims, damages, and reasonable costs arising from your breach of these Terms, your Content, or your use of the Service in violation of applicable law.

11. Term and termination

These Terms apply for as long as you maintain an Account. Either party may terminate a subscription per the cancellation terms shown in the account portal. We may suspend or terminate the Service immediately for breach of Section 5 (Acceptable use), non-payment, or where required by law - for non-payment specifically, this follows the payment-hold process described in Section 4 rather than happening without warning. On termination, we may delete Content after a reasonable retention period described in our Privacy Policy; you are responsible for exporting anything you need beforehand.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email or in-portal notice with reasonable advance notice before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing law and disputes

These Terms are governed by the laws of [jurisdiction, e.g. England and Wales], without regard to conflict-of-law principles, and the courts of [jurisdiction] have exclusive jurisdiction over any dispute, except where mandatory consumer-protection law gives you the right to bring proceedings in your own country of residence.

14. General

If any provision of these Terms is found unenforceable, the remaining provisions continue in effect. These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and Wildye regarding the Service.
